These Terms and Conditions apply to all products, spare parts, and services supplied by Grafisk Maskinfabrik A/S through its webshop or other sales channels. All sales are made exclusively to business customers.

2. Scope and Acceptance

These Terms and Conditions apply to all quotations, orders, deliveries, and services provided by Grafisk Maskinfabrik A/S.

By placing an order, the customer confirms that the purchase is made for business purposes and agrees to these terms.

Any conflicting or additional terms from the customer shall not apply unless explicitly agreed in writing by Grafisk Maskinfabrik A/S.

3. Orders and Order Confirmation

Orders placed through the webshop are binding once accepted by Grafisk Maskinfabrik A/S.

Grafisk Maskinfabrik A/S reserves the right to reject, cancel, or modify orders in case of pricing errors, product availability issues, technical errors, or compliance restrictions.
Order confirmations may be issued electronically.

4. Prices

All prices are stated in EUR unless otherwise specified. Prices are exclusive of VAT, customs duties, import taxes, shipping, handling, and insurance unless otherwise stated.

Additional costs for international shipping may apply.

5. Payment Terms

Payment must be made through the payment methods available at checkout unless otherwise agreed.

Grafisk Maskinfabrik A/S reserves the right to require advance payment, credit approval, or partial prepayment for certain orders.

Ownership of goods remains with Grafisk Maskinfabrik A/S until full payment has been received.

6. Delivery and Incoterms

Unless otherwise agreed, delivery shall be made according to Incoterms® 2020 – DAP (Delivered At Place).

Delivery dates stated on the webshop are estimates and are not guaranteed.
Risk of loss or damage transfers to the customer in accordance with the applicable Incoterm.

Grafisk Maskinfabrik A/S shall not be liable for delays caused by logistics providers, customs authorities, or circumstances beyond its control.

7. Inspection and Acceptance

The customer must inspect goods immediately upon delivery.

Any visible damage, missing items, or discrepancies must be reported within five business days after delivery.

Failure to notify Grafisk Maskinfabrik A/S within this period constitutes acceptance of the delivery.

8. Returns

Returns require prior written authorization from Grafisk Maskinfabrik A/S.

Returned products must be unused, in original packaging, and in resalable condition.
Custom-made products, configured spare parts, or special-order items cannot be returned.

Return shipping costs are the customer's responsibility unless otherwise agreed. Grafisk Maskinfabrik A/S may apply a restocking fee for approved returns.

Returns must be shipped to the above address unless otherwise agreed in writing.

9. Warranty

Grafisk Maskinfabrik A/S warrants that products are free from defects in material and workmanship at the time of delivery.

Unless otherwise stated, the warranty period is 12 months from delivery.

The warranty does not cover normal wear and tear, improper installation, misuse or negligence, unauthorized modification or repair, or use outside the intended machine specifications.

Grafisk Maskinfabrik A/S’s obligation under warranty is limited to repair, replacement, or refund at its sole discretion.

10. Spare Parts Compatibility

Customers are responsible for ensuring that ordered spare parts are compatible with their equipment.

Grafisk Maskinfabrik A/S cannot guarantee compatibility if incorrect machine specifications, part numbers, or serial numbers are provided.

Returns due to incorrect ordering may be subject to approval and restocking fees.

11. OEM and Compatibility Disclaimer

Unless explicitly stated otherwise, Grafisk Maskinfabrik A/S is an independent supplier of spare parts and is not affiliated with, authorized by, or endorsed by any original equipment manufacturer (OEM).

Any references to machine manufacturers, model names, trademarks, or part numbers are used solely for identification and compatibility purposes.

Grafisk Maskinfabrik A/S does not claim that supplied spare parts are original OEM products unless explicitly stated.

12. Service Work

Service, repair, and maintenance work provided by Grafisk Maskinfabrik A/S shall be performed with reasonable care and professional skill.

Unless otherwise agreed in writing, spare parts used during service work are covered by the standard product warranty.

Service schedules and response times are estimates only.

13. Limitation of Liability

To the fullest extent permitted by law, Grafisk Maskinfabrik A/S shall not be liable for loss of profit, production downtime, loss of business, or other indirect or consequential damages.

Total liability arising from any claim shall not exceed the purchase price of the affected product or service.

14. Machine Downtime Disclaimer

Grafisk Maskinfabrik A/S shall not be liable for production downtime, loss of production, or costs resulting from equipment failure, delayed delivery of spare parts, or installation of supplied products.

Customers are responsible for maintaining adequate spare parts inventory and preventive maintenance for their equipment.

15. Lead Time and Backorders

Lead times stated on the webshop or in quotations are estimates only and may change depending on supplier availability, production schedules, or logistics conditions.

Grafisk Maskinfabrik A/S reserves the right to deliver products in partial shipments and to place items on backorder if stock is temporarily unavailable.

16. Intellectual Property

All intellectual property rights related to products, documentation, designs, drawings, software, and website content remain the exclusive property of Grafisk Maskinfabrik A/S.

No license or transfer of intellectual property rights is granted except as necessary for the use of the purchased products.

17. Export Compliance

Customers agree to comply with all applicable export control laws and regulations.

Products may not be exported, re-exported, or transferred to restricted countries, entities, or individuals in violation of international trade laws.

Customers are responsible for obtaining any required import licenses or permits.

18. Sanctions Compliance

Customers confirm that they are not subject to trade sanctions or embargoes imposed by the European Union, the United States, the United Nations, or any other applicable authority.

Products supplied by Grafisk Maskinfabrik A/S may not be exported, re-exported, or transferred to sanctioned countries, entities, or individuals.

Grafisk Maskinfabrik A/S reserves the right to cancel any order if it reasonably believes that the transaction may violate applicable sanctions or export control laws.

19. Data Protection

Customer information is processed solely for purposes related to order processing, logistics, invoicing, and customer service.

Grafisk Maskinfabrik A/S processes personal data in accordance with applicable data protection laws.

20. Force Majeure

Grafisk Maskinfabrik A/S shall not be liable for failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war or civil unrest, strikes or labour disputes, supply chain disruptions, governmental actions, or pandemics.

Delivery obligations may be suspended for the duration of such events.

21. Governing Law and Jurisdiction

The laws of Denmark shall govern these Terms and Conditions.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the Danish courts.

22. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
